The Vendor wishes to participate in the Farmers Market as an independent vendor. The Vendor acknowledges that the market takes place on private property and agrees to comply with this Agreement and all reasonable rules established by Cantona Homestead.
1- BOOTH AND PARTICIPATION
The Vendor may only occupy the booth or area assigned by Cantona Homestead. The Vendor must adhere to the established schedules for setup, operation, and breakdown, and must not block vehicle entrances, sidewalks, fire lanes, exits, entrances, utility access, or other vendors' spaces.
The Vendor is responsible for their own tables, tents, displays, equipment, signage, merchandise, electrical cords, weights, and other materials, unless otherwise agreed upon in writing. All tents and temporary structures must be properly secured and in good condition.
Each space occupied by the Vendor accommodates one 10x10 tent, unless otherwise authorized. Booth sharing is not permitted, except when an adult shares a space with a young entrepreneur. The booth is reserved only after payment is received.
Vendors must bring a 10x10 tent, mandatory weights or anchors, tables, chairs, and display materials. Electricity will not be provided. Each Vendor must ensure their booth is safe, stable, and properly anchored.
2- SCHEDULE
Vendors must arrive by 8:00 AM and have their booth set up and ready by 9:00 AM.
The Farmers Market runs from 9:00 AM to 1:00 PM; Vendors must remain open throughout the entire event, and early breakdown is not permitted.
3- YOUNG ENTREPRENEURS
Cantona Homestead supports and promotes young entrepreneurs. Minors under the age of 18 may participate free of charge under the supervision of a responsible adult. If selling food, they must comply with the Texas Cottage Food Law and food handling requirements. Child entrepreneurs may share the booth with an adult vendor.
4- VENDOR FEES, REFUNDS, AND CANCELLATIONS
Vendor Fee: $50. Fees are non-refundable once payment is received.
If the vendor is unable to attend and provides formal notification via email to Cantona Homestead at least 7 days in advance, the fee will be refunded.
Vendors who fail to show up without prior notice may lose the opportunity to participate in future Farmers Markets.
Spaces may not be transferred, resold, or reassigned without Cantona Homestead's approval.
5. ACKNOWLEDGMENT OF PRIVATE PROPERTY
The vendor understands that the Farmers Market takes place on private property. The vendor receives a limited, revocable permit to occupy the assigned area exclusively for Farmers Market purposes. Nothing in this Agreement creates a lease, easement, partnership, employment relationship, agency relationship, or property right regarding the premises.
5. ASSUMPTION OF RISK
To the fullest extent permitted by applicable law, the vendor knowingly assumes the ordinary risks associated with participating in the Farmers Market, including risks arising from setup and teardown, tents and displays, electrical equipment, weather conditions, uneven surfaces, customer interaction, the vendor's products and equipment, and the vendor's own acts or omissions.
The vendor is responsible for taking reasonable precautions to protect themselves, their employees and assistants, customers, merchandise, and equipment.
6. RELEASE AND WAIVER
To the fullest extent permitted by Texas law, the vendor releases and agrees not to bring claims against the owners of Cantona Homestead and their respective directors, employees, agents, and representatives for bodily injury, property damage, losses, or expenses arising from their participation in the Farmers Market, except to the extent that such a release is prohibited by applicable law. Nothing in this Agreement is intended to waive liability that cannot be legally waived or released under Texas law.
7. INDEMNIFICATION
To the fullest extent permitted by applicable law, the Vendor agrees to defend, indemnify, and hold harmless the Owners of Cantona Homestead and their respective directors, employees, agents, and representatives against claims, damages, losses, liabilities, costs, and reasonable attorney's fees arising from or related to: (a) the Vendor’s products or services; (b) the Vendor’s negligence or willful misconduct; (c) the Vendor’s employees, assistants, contractors, or guests; (d) the Vendor’s booth, equipment, tent, displays, or activities; (e) the Vendor’s violation of the law or Market rules; or (f) any claim for injury or damage to property. ...damage caused by the Vendor or their operations.
This provision does not require the Vendor to indemnify third parties for liability to the extent prohibited by applicable law.
8. LICENSES, PERMITS, AND LEGAL COMPLIANCE
The Vendor is solely responsible for obtaining and maintaining all licenses, permits, registrations, certifications, tax accounts, inspections, approvals, and insurance required for their business, products, and participation in the Farmers Market.
The Vendor must comply with all applicable Harris County vendor rules and requirements, as well as all applicable federal, State of Texas, county, and municipal laws and regulations. This includes, but is not limited to, requirements concerning health and sanitation, food preparation and handling, fire prevention, public safety, product labeling, sales tax, and consumer protection.
Acceptance into the Cantona Homestead Farmers Market does not constitute confirmation or a guarantee that the Vendor’s business, products, or operations are legally authorized. The Vendor remains solely responsible for verifying and maintaining compliance with all applicable requirements.
9. FOOD VENDORS — ADDITIONAL REQUIREMENTS
Food vendors must comply with all requirements applicable to their specific food-handling activity. Depending on the products and preparation methods, the Vendor may require permits, registrations, food handler or food manager credentials, approved preparation facilities, labeling, temperature control, and other requirements.
The Vendor is solely responsible for determining which requirements apply to their activity and for ensuring compliance. The Vendor must provide copies of permits, licenses, certificates, or other relevant documentation upon reasonable request.
The Vendor may not sell food that is unsafe, adulterated, mislabeled, or the sale of which is prohibited by current law.
10. PRODUCTS AND MERCHANDISE
The Vendor is solely responsible for the quality, safety, legality, labeling, packaging, warranties, and representations regarding their products or services. They are required to prepare, store, and serve food in accordance with Texas health codes. They are also responsible for collecting and reporting applicable sales taxes.
The Vendor must sell only those products declared and approved in the application. Vendors may not sell counterfeit, stolen, illegal, unsafe, recalled, or prohibited products. Cantona Homestead may require the removal of any product that, in its reasonable judgment, is unsafe, illegal, misleading, or inconsistent with Farmers Market rules.
Texas Cottage Food vendors may sell approved, non-potentially hazardous foods: baked goods without cream fillings, candies, jams, jellies, granola, and other similar shelf-stable products. All such products must be properly labeled in accordance with Texas law, prepared in an authorized home kitchen, and sold directly by the producer.
Vendors must employ safe practices, including the use of gloves and utensils and keeping food covered. They must have a hand-washing station available when preparing or handling food on-site, as required by law.
Cantona Homestead will not provide electricity or water connections.
Vendors must obtain prior approval for open flames, grills, or fryers.
Cantona Homestead may reject or remove any vendor who fails to meet health or safety requirements. Non-compliance may result in expulsion without a refund.
11. PROPERTY DAMAGE AND CLEANLINESS
Vendors must keep their space clean and free of trash, spills, food waste, grease, cables, packaging, and other hazards. Vendors must leave the stall space in substantially the same condition as it was when provided to them.
Vendors are responsible for damage caused to property, facilities, pavement, landscaping, utilities, or other assets, whether caused by the Vendor or by their employees, assistants, contractors, or guests.
12. EMPLOYEES, ASSISTANTS, AND GUESTS
Vendors are responsible for the conduct of all persons working with or accompanying them in connection with the Farmers Market. Vendors must inform such persons of all Farmers Market rules and applicable safety requirements and ensure compliance with them.
13. WEATHER, EMERGENCIES, AND CANCELLATION
Cantona Homestead may delay, modify, relocate, suspend, or cancel the Farmers Market when reasonably necessary due to adverse weather conditions, emergencies, safety concerns, property conditions, government guidelines, utility issues, or other circumstances beyond reasonable control. Vendors may receive credit for a future Farmers Market.
Unless expressly stated otherwise in a separate written policy, the Vendor understands that participation in the Farmers Market does not guarantee attendance, foot traffic... ...customers, sales, revenue, or reimbursement of the Vendor’s expenses.
14. NO SALES GUARANTEE
The Vendor acknowledges that Cantona Homestead makes no representations or warranties regarding attendance, customer volume, sales, revenue, visibility, or profitability. The Vendor participates at its own commercial risk.
15. INDEPENDENT BUSINESS RELATIONSHIP
The Vendor is an independent business and is not an employee, agent, partner, joint venture participant, franchisee, or representative of Cantona Homestead. The Vendor is responsible for its own employees, taxes, insurance, permits, expenses, and business obligations.
16. TERMINATION OR REMOVAL
Cantona Homestead may deny participation or order the Vendor to cease operations or leave the property when reasonably necessary due to safety concerns, non-compliance with this Agreement or Farmers Market rules, lack of required documentation, illicit activities, disruptive conduct, failure to pay required fees, or other legitimate operational reasons.
Removal from the Farmers Market does not relieve the Vendor of obligations that, by their nature, survive termination, including indemnification and payment obligations.
17. PHOTOGRAPHY AND PROMOTIONAL USE
The Vendor grants Cantona Homestead permission to photograph or record the booth, products, signage, and the Vendor’s participation in the Farmers Market, and to use such material for reasonable promotional purposes related to the Farmers Market, unless the Vendor provides written notice of a specific restriction prior to the event.
18. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles, to the extent permitted by applicable law. Any provision regarding venue must be drafted and reviewed by a Texas attorney prior to use.
19. VENDOR ACKNOWLEDGMENT
The Vendor acknowledges that participation in the Farmers Market constitutes a commercial activity and that it is the Vendor's responsibility to assess the risks and legal requirements applicable to their own products and operations.
By submitting an application and participating, the Vendor acknowledges having read, understood, and accepted the agreements and rules of the Cantona Homestead Farmers Market event.
Participation confirms a commitment to comply with the rules in order to provide a safe, welcoming, and enjoyable experience for families.
